Hong Kong property developer, New World Development has launched an exchange offer for around $991mn of dollar bonds as it looks to extend upcoming maturities and improve liquidity. Bondholders can exchange three existing notes for new 7.375% senior secured bonds due 2032, along with a cash payment. The offer covers $456.9mn of 4.75% notes due January 2027, $162.6mn of 5.875% bonds due June 2027 and $372mn of 8.625% notes due February 2028. The maximum acceptance amount is capped at $600mn, including a $200mn cap for the 2028 bonds. The base exchange consideration includes 95 cents of new notes and 3.5 cents in cash, while investors tendering early, i.e. before October 14, will receive an additional 1.75 cents in cash. The tender offer is set to expire on October 20 with the final settlement expected on October 23. The transaction comes as New World continues to face pressure from weak property markets in Hong Kong and mainland China. Its largest shareholder, Chow Tai Fook Enterprises, has also indicated that it is prepared to provide support to the company.
New World’s 4.75% 2027s were trading at 98.5 (yielding 9.9%), 5.875% 2027s were at 97.1 (yielding 10.3%) and 8.625% 2028s were at 96.5 (yielding 11.5%).
